It is very important that, before registering with TimeZone.org.uk, you
read, agree with and accept all of the terms and conditions contained
in this Consumer Agreement, before you become a Consumer of the Site.
By registering as a Consumer at http://www.timezone.org.uk (the
"Site"), you hereby agree that your use of the services available at
the domain and sub-domains at the Site will be bound by these terms and
conditions contained in this Consumer Agreement. If you do not agree to
be bound by this Consumer Agreement, you may not use or access our
services. This Consumer Agreement shall govern all use of our services.
It is important that you note that your use of any other TimeZone web
sites will be governed by the Consumer Agreement posted on those other
web sites, in addition to this Consumer Agreement, however in the case
of any divergence in terms, the Consumer Agreement for the website in
question shall prevail.
Any amendments to this Consumer Agreement will be communicated to you
in a notice ("Notice") by either e-mail or by posting the amended
Consumer Agreement on the Site. It is important to note that any
amended Consumer Agreement will govern any new Consumer registrations
(“New Consumers”) from the date that it is posted on the Site. Existing
Consumers will be bound by the amended Consumer Agreement after the
expiry of 30 days following the date of a Notice. Any amendments
communicated to you in any other way than by Way of a Notice will be
ineffective. Please note that different notice provisions apply to our
Fees and Credits Policy as set out in section 6 below.
Membership
To use the Site, you must be 18 years of age or older, and must be a
TimeZone member in good standing (i.e. not a temporarily or
indefinitely suspended TimeZone members). If you are under 18 years
old, you can use this service only in conjunction with and under the
supervision of a parent or guardian. If you do not qualify, we would
ask you to please do not use our services. If you are registering as a
business entity, you are taken to be warranting and representing that
you have the authority to agree to and bind that entity to this
Consumer Agreement.
1. Consumer ID
You will choose a Consumer ID and password on completion of
registration. You must only use the Site under your own Consumer ID,
and you are responsible for all bids, auctions, comments or other
actions undertaken by anyone else under your Consumer ID. For the
avoidance of doubt, you should not permit any other person to utilise
your Consumer ID or password, and TimeZone accepts no liability for any
use of your Consumer ID and/or password by anyone to whom you may have
directly or indirectly disclosed your Consumer ID and/or password. You
must use every effort to keep your password safe and should not
disclose it to any other person. Failure to do so may result in your
being held liable for another person’s actions if they sign in using
your Consumer ID. You shall not transfer or sell your Consumer ID to
any other person.
2. Listing and Selling.
2.1 Listing Description. If you are a seller, you must ensure that hold
the legal Title to every item that is listed for sale under your
Consumer ID on the Site (ie that you are the legal owner and are able
to sell the items), and that the sale of such an item(s) to UK
residents is lawful or (if the buyer is resident overseas) that it is
lawful to sell and export such item to a person resident in the buyer's
jurisdiction. You must accurately and clearly describe your item and
all terms of sale on the listing page of the Site. Your listings may
include text descriptions, graphics, pictures and other content however
this must be relevant to the sale of that item. You are responsible for
ensuring that you have the right to use all words, pictures and other
content used in your listings and that we therefore have the right to
host it on our servers. Failure to do so may result in your being
liable on an indemnity basis for any costs, charges, fines or other
fees incurred as a result of your incorrect or illegal use of someone
else’s intellectual property. All photographs used must be of the
actual item being sold unless clearly and specifically stated
otherwise. All items must be listed in an appropriate category. All
"Dutch Auction" or "multiple item listing" items must be identical. You
accept full liability for the content and accuracy of all listings. You
agree to fully indemnify us against all claims and losses arising from
any listings save where such claim or loss arises exclusively from any
act or omission of TimeZone.
2.2 No Cancellation. Once you have sent a completed or partially
completed "Sell Your Item" form to us, this acts as an irrevocable
request for TimeZone to host the sale of your item and you recognise
that you will not have the right to cancel any such listing under the
Consumer Protection (Distance Selling) Regulations 2000 or any
equivalent legislation in your jurisdiction.
2.3 Binding Bids and payment. By submitting a “Sell Your Item” form,
you are warranting that once at least one bid at or above the stated
minimum bid price (or in the case of reserve auctions, at or above the
reserve price) has been received, you will complete the transaction
with the highest bidder on completion of the listing, unless the buyer
fails to meet the conditions of the seller's listing (such as payment
method), or the seller cannot authenticate the buyer's identity.
Sellers become bound to pay TimeZone’s Fees in accordance with clause 3
below upon closure of an auction in which there has been at least one
bid at or above the stated minimum bid price (“Successful Auction”).
When placing an item for sale on the Site, Sellers are required to
provide details of a valid debit or credit card to which our fees will
be charged. By provision of the same, you are hereby irrevocably
authorising TimeZone to charge its fees to such a credit or debit card
upon closure of a Successful Auction . You recognise and agree that
TimeZone’s fees are payable upon closure of a Successful Auction
regardless of whether or not you receive payment from a buyer.
2.4 Fraud We may suspend or terminate your account if we suspect that
you have engaged or are about to engage in, or have been in any way
involved in or linked to, fraudulent activity in connection with this
or any other site. This is without limitation to any of our other
remedies, whether contractual statutory or otherwise.
2.5 Manipulation. It is forbidden to manipulate the price of any item
or interfere with other Consumer's listing(s).In particular, you must
not: (a) bid in a listing where you or anyone connected or known to you
personally are the seller, or procure or encourage any other person to
do so on your behalf; (b) contact bidders in a listing where items are
listed for sale in order to offer similar items to the bidders in that
listing or in an attempt to make a private sale outside the confines of
TimeZone; or (c) make bids or make any payment using a false Consumer
ID. We reserve the right to suspend or cancel any account or auction
where we believe such manipulation is occurring.
3. Fees.
Unless otherwise stated, all fees are payable in GB Pounds sterling.
Whether you are a business or not, it is important that you remember
that VAT and other taxes may be applicable to your transaction, as may
international customs and any other costs involved in doing business
between two different jurisdictions. Sellers will be responsible for
paying all fees associated with using our service and our Site and all
applicable taxes. By submitting a “Sell Your Item” form, you thereby
agree that we may issue you with invoices in electronic format by email.
We charge fees for listing items for sale through our Site and when you
list an item you will have an opportunity to review and accept the fees
that you will be charged. Our fees are described on our charges page
which forms part of this Consumer Agreement. We may change this policy
at any time, and any change will be effective after the expiry of a
minimum of 14 days following the date of posting on the announcements
board on the Site. We may in our sole discretion change some or all of
our services at any time and, in the event that we introduce a new
service, the fees for that service are effective at the launch of the
service.
Whilst joining TimeZone and bidding on items is free, you must remember
that you will remain responsible for the costs of accessing our Site
and communicating with our Consumers.
4. Bidding and Buying.
As a buyer, by submitting a bid, you agree to be bound by our terms and
conditions as well as those of the seller clearly included in the
item’s description. If you are in doubt about any of the terms and
conditions potentially included in an item’s description, then you
should ask the seller to explain the same to you. Once you have
submitted a bid you have a legal obligation to complete a transaction
with the seller if:
a. you purchase an item through one of our fixed price formats; or
b. you are the highest bidder at the end of an auction-style listing
(meeting the applicable minimum bid or reserve requirements and
including any bid that becomes the highest after a valid bid
retraction) and your bid is accepted by the seller, unless the
transaction is prohibited by law or by this Consumer Agreement.
As buyer, you must ensure that you are legally able to bid for and buy
any item that you bid for. By bidding on an item you are agreeing to be
bound by the conditions of sale included in the item's description
provided that those conditions of sale are not in breach of this
Consumer Agreement or are otherwise unlawful.
5. TimeZone is Only a Website.
5.1 TimeZone is not an auctioneer. Although we may be referred to as an
online auction web site it is important to realise that we are not a
traditional auctioneer. Instead, the Site acts as a venue which allows
registered Consumers to offer, sell, and buy just about anything which
is legal, at any time, from anywhere, in a variety of price formats. We
do not possess the items offered through the Site and we are not
involved in transactions between buyers and sellers, either regarding
listing, payment, or any other transaction. It is important that you
note that TimeZone has no control whatsoever over the quality, safety
or legality of the items listed, the truth or accuracy of the listings,
the ability of sellers to sell items or the ability of buyers to pay
for items. Simply because it may be listed on the Site, it does not
however necessarily follow that the offer, sale, purchase, export or
import of any item so offered is valid and legal . TimeZone is not
responsible for ensuring that buyers and sellers actually complete or
are able to complete a transaction. We do not and cannot control
whether or not a seller is able to complete the sale of any items they
offer or that a buyer will complete the purchase of any items they may
have bid on. For the avoidance of any doubt, you are hereby notified
and agree that there is no agency, partnership, joint venture,
employer/employee or franchisor/franchisee relationship or agreement
arising out of these terms and conditions or any other contact of any
sort whatsoever between TimeZone and any Consumer. Any contract for
sale or purchase is entered into directly between the Consumers of our
services under in their respective roles as buyer and seller. All
Consumers accept sole responsibility for the legality or otherwise of
your actions under all and any laws applying to you.
5.2 Restricted Items. As a matter of policy, certain items are not
allowed to be listed for sale on a TimeZone site, including, but not
limited to items which would be illegal in the country to or from which
they are being offered, items which purport to be being capable of
causing harm to others, explosives, firearms and illegal or cracked
software. We reserve the right to suspend and/or cancel any auction
which, in our sole opinion, breaches this clause 5.2. TimeZone do not
accept any obligation to protect you from unsafe items listed for sale
on the Site. Please do not assume that items listed will be harmless to
people or property. Consumers in their respective roles have sole
responsibility for ensuring the safety of items sold and purchased by
you.
5.3 Identity verification. Various techniques are used to verify the
accuracy of the information that our Consumers provide to us when they
register on the Site. However, TimeZone cannot and does not confirm the
purported identity of Consumers or the validity of the information
which Consumers post to the Site. By registering for the Site,
Consumers accept that, in using our services, there is an inherent risk
that buyers and sellers may provide inaccurate or misleading
information as to their identity. Our Consumer ID feedback rating
system may help you to evaluate the Consumer with whom you are dealing
but we give no warranty as to the veracity of this information.
Consumers are responsible for satisfying themselves as to the identity,
integrity, financial position and ability to provide the goods offered
regarding the buyer or seller you are dealing with before parting with
items or making payment. We encourage you to communicate with all
potential trading partners using the tools available on the Site.
6. Information Control. TimeZone do not control the information
provided by Consumers which is placed on and otherwise made available
through the Site. In the event that you find other Consumers
information to be offensive, harmful, inaccurate, or deceptive, we
would ask that you contact TimeZone who will consider if an item or
feedback is listed in accordance with the Site’s terms and conditions.
Please use caution, common sense, and practice safe trading when using
the Site. Please note that there are also risks of dealing with
underage persons or people acting under false pretences. By using this
Site, you agree to accept all and any such risks and agree that
TimeZone is not responsible for the acts or omissions of Consumers on
the Site.
7. Feedback.
As stated in Clause 5 above, the feedback system is an important tool
for verifying the status and sincerity of a Consumer. Feedback ratings
are not designed for any purpose other than for facilitating trading
between TimeZone Consumers, and you agree that you shall not market or
export your TimeZone feedback rating in any venue other than on the
TimeZone website. We would ask that you do not take any actions that
may undermine the integrity of the feedback system. TimeZone operates a
system whereby the number of bids and listings you may place on the
Site and your other activities on the Site may be limited based upon
the level of your feedback. For example, if you earn a net feedback
rating of -4, your right to use our services will be suspended, and you
will be unable to list or bid. We do not allow you to import feedback
from other websites to TimeZone because such feedback will not reflect
your reputation within the TimeZone community. Further, if we have
reason to believe that any feedback provided is inaccurate or untrue,
we reserve the right to withhold or remove such feedback from the site.
8. Your Information.
8.1 Definition "Your Information" is defined as any information that
you provide to us or other Consumers in relation to the TimeZone
service including, but not limited to, the registration, bidding,
listing or feedback process, your postings on the message boards and
any other content that you post within the Site. TimeZone accept no
responsibility whatsoever for Your Information and you agree that the
Site merely acts as a host, enabling you to disseminate whatever
information that you may choose to publish in order to sell and/or
purchase any items.
8.2 Restrictions by registering as a Consumer, you are hereby agreeing
that Your Information and your activities on our Site must not:
a. be false, inaccurate or misleading;
b. be offensive or menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights;
c. infringe any third party's copyright, patent, trade mark, trade
secret or other proprietary rights or rights of publicity or privacy;
d. be fraudulent or involve the sale of counterfeit or stolen items;
e. be in breach of any applicable laws or regulations (including, but
not limited to, laws governing export control, consumer protection,
unfair competition, anti-discrimination, false advertising);
f. be obscene, indecent or contain child pornography;
g. create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers;
h. link directly or indirectly to or include descriptions of goods or
services that: (aa) are prohibited under this Consumer Agreement; (bb)
are identical to other items you have up for sale but are priced lower
than your item's reserve or minimum bid amount; (cc) are concurrently
listed for sale on a website other than TimeZone's (this does not
prevent linking to or advertising an TimeZone item from another
website); or (dd) you do not have a right to link to or include;
i. contain any computer viruses, macro viruses, trojan horses, worms or
anything else designed to interfere with, interrupt or disrupt the
normal operating procedures of a computer or to surreptitiously
intercept, access without authority or expropriate any system, data or
personal information;
j. cause the Site to be interrupted, damaged, rendered less efficient
or such that the effectiveness or functionality of the Site is in any
way impaired.
You must not list any item on the Site (or complete any transaction
initiated using the Site) that, by paying to us the listing fee or the
final value fee, could cause either TimeZone or yourselves to violate
any applicable law. In the event that you do so, you hereby agree to
indemnify TimeZone in full (on an indemnity basis) for all and any
costs, fees, fines, charges, sanctions or any other such sum incurred
as a result of your actions in listing, selling, buying or in any way
connected to the Site or TimeZone.
8.3 Licence To enable TimeZone to use Your Information, you grant us a
non-exclusive, world-wide, perpetual, irrevocable, royalty-free,
sublicensable (through multiple tiers) licence to exercise the
copyright, trade mark, publicity, and database rights you have in Your
Information, in any media now known or not currently known. You also
waive all moral rights you have in Your Information to the fullest
extent permitted by law.
8.4 Access and Interference. Much of the information on the Site is
updated on a real time basis and is proprietary or is licensed to
TimeZone by our Consumers or third parties. You agree that you will not
use any robot, spider, scraper or other automated means to access the
Site for any purpose without our express written permission.
Additionally, you agree that you will not: (i) take any action that
imposes, or may impose in our sole discretion an unreasonable or
disproportionately large load on our infrastructure; (ii) copy,
reproduce, modify, create derivative works from, distribute or publicly
display any content (except for Your Information) from the Site without
the prior expressed written permission of TimeZone and the appropriate
third party, as applicable; (iii) interfere or attempt to interfere
with the proper working of the Site or any activities conducted on the
Site; or (iv) bypass our robot exclusion headers or other measures we
may use to prevent or restrict access to the Site. We do not authorise
you to extract or re-utilise substantial parts of our Site, or to make
systematic and repeated extractions or re-utilisations of insubstantial
parts of our Site.
8.5 Other Consumers' Information. TimeZone is a community, and, in
order to facilitate the smooth operation of the community, Consumers
may obtain limited access to other Consumers' contact information. As a
seller you will have access to the Consumer ID, email address and other
contact information of the buyer or winning bidder(s), and as a buyer
or winning bidder you have access to the Consumer ID, email address and
other contact information of the seller.
By accepting this Consumer Agreement in creating a Consumer ID, you
agree that, with respect to other Consumers' personally identifiable
information obtained through the Site or through any other such
TimeZone-related communication or TimeZone-facilitated transaction, you
may only use such information for: (a) TimeZone-related communications
that are not unsolicited commercial messages and relate to your genuine
participation in an TimeZone-facilitated transaction, (b) using
services offered through TimeZone (e.g. escrow, insurance, postal and
fraud complaints), and (c) any other purpose that any such Consumer
expressly agrees to after adequate disclosure of the purpose(s) for
which you wish to use the information. In addition, you shall only use
such information in accordance with applicable laws and regulations,
including without limitation data protection and privacy laws. In the
event of your failure to do so, you hereby agree to indemnify TimeZone
in full (on a full indemnity basis) for all and any costs, fees, fines,
charges, sanctions or any other such sum incurred as a result of your
actions. In all cases, you must give Consumers an opportunity to remove
themselves from your database and a chance to review what information
you have collected about them. In addition, under no circumstances,
except as defined in this Section, can you disclose personally
identifiable information about another Consumer to any third party
without our consent and the consent of such other Consumer after
adequate disclosure.
TimeZone and our Consumers do not tolerate spam or unsolicited
commercial communications. Therefore, without limiting the foregoing,
you shall not add a TimeZone employee or a TimeZone Consumer, even a
Consumer who has purchased an item from you, to your mail list (email
or physical mail) without their express written consent after adequate
disclosure of the purposes for which you intend to use their
information. To report spam from other TimeZone Consumers, please send
an email to the TimeZone Help Desk.
Unauthorised use of a TimeZone member’s information Should be reported
to the TimeZone Help Desk and may result in the disclosing party’s
exclusion from the TimeZone community and any concomitant suspension of
accounts. This is in addition to and without limitation to any other
causes of action that TimeZone may have against an offending party
under this Consumer Agreement or statute.
8.6 Use of Email Forwarding Services. As part of its service, TimeZone
provides an email forwarding service to its Consumers, in order to
facilitate contact between them. You agree not to use any email
forwarding services that we offer to send spam or otherwise send
content that would violate the terms of this Consumer Agreement or the
applicable laws of any jurisdiction. Please note that we do not
permanently store the email messages or the email addresses involved in
the forwarding process.
9. Transfer of Data and Data Protection
We view protection of Consumers' privacy as a very important community
principle. Please note that Your Information will be stored and
processed on our computers which are based in the United Kingdom.
TimeZone will hold and transmit Your Information in a safe,
confidential and secure environment. If you object to Your Information
being transferred or used in this way please do not register. Your
Information will be processed in accordance with the provisions of the
Data Protection Act 1998. In accepting this Consumer Agreement and
using our services you consent to us using and processing your data in
accordance with our responsibilities under the Data Protection Act
1998. TimeZone operates a privacy policy which is set out at the end of
this agreement.
10. Breach.
Without limiting our other remedies, TimeZone may limit your activity
on the Site, immediately issue a warning, suspend or terminate your
Consumer registration or any of your item listings and refuse to
provide any of our services to you without notice to you if: (a) you
breach this Consumer Agreement or any other agreement between TimeZone
and our Consumers; (b) if, despite our reasonable endeavours, we are
unable to verify or authenticate any information you provide to us; or
(c) if we believe that your actions may cause us financial loss or
legal liability. By obtaining a Consumer ID, you hereby agree to waive
any right, claim or other cause of action that you may have for any
financial loss, liability or other loss suffered by yourself as a
result of our canceling your listing, purchase, account or Consumer
Registration.
11. Liability. In the event that you have any right, claim or action
against any other Consumer arising from that Consumer's use of the
Site, you agree to pursue such right, claim or action independently of
and without recourse to us, and you release TimeZone (and our parent,
subsidiaries, affiliates, officers, directors, agents and employees)
from all claims, liability, damages, losses, costs and expenses,
including legal fees, known and unknown, arising from or in any way
connected with such right, claim or action. You agree that you will
indemnify us in full against all and any claims including, but not
limited to, all costs, fees, charges, sanctions, and such other
monetary sums as may be ordered on a full indemnity basis against us by
any third party arising as a consequence of your use of our services.
12. No Warranty.
Due to the transient nature of the Internet, TimeZone (and our parent,
subsidiaries, affiliates, officers, directors, agents and employees)
are unable to guarantee continuous, uninterrupted or secure access to
our services, and operation of the Site may be interfered with by
numerous factors outside of our control, such as (but not limited to)
adverse Internet conditions, hackers etc. Our website and our services
are provided "as is" and as and when available, and to the full extent
permissible by law we exclude all implied warranties, conditions or
other terms, whether implied by statute or otherwise, including without
limitation any terms as to skill and care or timeliness of performance.
Some jurisdictions do not allow the disclaimer of implied warranties,
so the foregoing disclaimer may not apply to you.
13. Limitation of Liability.
Nothing in this Consumer Agreement shall limit or exclude our liability
for fraudulent misrepresentation, or for death or personal injury
resulting from our negligence or the negligence of our, agents or
employees. Subject to the foregoing, and to the fullest extent
permitted by applicable law TimeZone (including our parent,
subsidiaries, affiliates, officers, directors, agents and employees)
will not be liable for any economic losses (including, without
limitation, loss of revenues, profits, contracts, business or
anticipated savings), any loss of goodwill or reputation, or any
special, indirect or consequential damages (however arising, including
negligence) arising out of or in connection with this Consumer
Agreement.
TimeZone (including any parent companies, subsidiaries, affiliates,
officers, directors, agents and employees) can accept no liability of
any sort (including liability for negligence) for the acts or omissions
of other providers of telecommunications services, their employees or
agents nor for faults in or failures of their networks and equipment.
Our liability to you or any third party, and the liability of our
parent, subsidiaries, affiliates, officers, directors, agents and
employees, in any circumstance is limited to the greater of (a) the
total fees you have paid to us in relation to the listing or other
service offered giving rise to liability, and (b) £100.
14. Indemnity.
You agree to indemnify and hold us and (as applicable) any parent
companies, subsidiaries, affiliates, officers, directors, agents, and
employees, harmless from any claim or demand, including any fees,
charges, costs, sanctions or other such sum incurred (on a full
indemnity basis) made by any third party due to or arising out of your
breach of this Consumer Agreement (including the documents incorporated
by reference), or your violation of any law or the rights of a third
party.
15. Notices.
Unless otherwise explicitly stated, notices to TimeZone must be sent by
registered mail to TimeZone Antiques and Collectables Ltd, Po Box 81,
Westerham, Kent, TW16 3WN, and notices to you will be sent to the email
address that you provide to TimeZone during the registration process
(receipt is deemed 24 hours after an email is sent, unless we receive
notice that the email address is invalid), or by registered mail.
16. Governing Law and Legal Compliance.
This Consumer Agreement shall be governed by and construed in
accordance with English law and subject to the exclusive jurisdiction
of the English courts.
Please note, that your country (and/or that of any Consumer you deal
with) may have laws which apply to your transactions with other
Consumers regardless of what you agree with us (now) or with that
Consumer (later).
The laws of your country may be different from English law, including
laws governing what can be legally offered, sold, exported, bought or
imported. There may be additional legal requirements, relating to (for
example) the requirement to hold a licence to buy or sell certain
items, or to register a transfer in a central registry or to pay tax on
certain items. By registering as a Consumer, you hereby agree to comply
with all applicable domestic and international laws, statutes,
ordinances and regulations regarding your use of our service and your
bidding on, listing, purchase and solicitation of offers to purchase
and sale of items. There is no practical way for us to continually
monitor the laws of every country, or each Consumer transaction. Please
do not assume that you are allowed to do what other Consumers do, or
that we are approving or validating any transaction, even if you have
successfully made similar sales or purchases in the past. By
registering as a Consumer you hereby agree to indemnify TimeZone for
any claim or demand, including any fees, charges, costs, sanctions or
other such sum incurred (on a full indemnity basis) made by any third
party as a result of your purchase, importation, sale, or any other
such involvement with TimeZone or a TimeZone Consumer.
17. Dispute Resolution.
Disputes between you and TimeZone regarding our services may be
reported to the TimeZone Help Desk. TimeZone are unable to assist in
the resolution of disputes between Consumers, and we encourage you to
report all disputes between Consumers to your local law enforcement
body. 18. Third Party Rights.
A person who is not a party to this Consumer Agreement has no right
under the Contracts (Rights of Third Parties) Act 1999 to enforce any
term of this Consumer Agreement but this does not affect any right or
remedy of a third party specified in this Consumer Agreement or which
exists or is available apart from that Act.
General.
If any provision of this Consumer Agreement is held to be invalid or
unenforceable, such provision shall be struck out and the remaining
provisions shall be enforceable as if the removed provision had never
been in force. You agree that this Consumer Agreement and all
incorporated agreements may be automatically assigned by TimeZone, in
our sole discretion, to a third party in the event of a merger or
acquisition or any other event. You and TimeZone are independent
contractors, and no agency, partnership, joint venture,
